Terms of Sale and Service

1. INTRODUCTION AND ACCEPTANCE These Terms of Sale and Service ("Terms") constitute a binding legal agreement between Intellino Technology Inc. ("Intellino", "we", "us") and you ("Customer", "you"). These Terms govern your purchase of Signamic digital signage hardware ("Hardware") and your subscription to the Signamic Cloud software platform and related AI services ("Services").

BY PURCHASING HARDWARE OR ACCESSING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT PURCHASE OR USE THE PRODUCTS.

2. HARDWARE TERMS OF SALE

  • 2.1. Title and Risk of Loss: Title to the Hardware passes to you only upon full payment. Risk of loss or damage passes upon delivery to the carrier.
  • 2.2. Shipping and Delivery: Shipping dates are estimates only. Intellino is not liable for delays caused by carriers or supply chain issues.
  • 2.3. Installation: You are responsible for installation and compliance with local codes. Intellino is not liable for property damage or improper installation.
  • 2.4. Limited Hardware Warranty: Hardware is warranted against material defects for one (1) year.
    • Exclusions: Does not cover physical damage, water damage (unless IP65-rated), electrical surges, or misuse.
    • Remedy: Repair or replacement at Intellino’s discretion.
  • 2.5. Returns: Returns allowed within fourteen (14) days in new condition with original packaging. A 15% restocking fee applies. Customer pays return shipping.

3. SAAS SUBSCRIPTION AND BILLING

  • 3.1. Subscription Service: Signamic Cloud requires an active subscription for AI features, remote management, and live updates.
  • 3.2. Billing Authorization: You authorize recurring billing via our payment processor.
  • 3.3. Cancellation: You may cancel anytime. Service ends at the close of the billing cycle. No partial refunds.
  • 3.4. Effect of Non-Payment: The Hardware enters "Offline Mode," disabling AI, syncing, and dashboard access.

4. AI DISCLAIMER AND LIABILITY

  • 4.1. Nature of AI: Services use AI and LLMs to generate content.
  • 4.2. No Guarantee of Accuracy: AI may produce errors or biased content. Provided “AS IS.”
  • 4.3. Customer Responsibility: You must review AI-generated content before public display.
  • 4.4. Indemnity: You indemnify Intellino from claims or harm related to AI-generated or third-party content shown on your sign.

5. INTELLECTUAL PROPERTY AND DATA RIGHTS

  • 5.1. Intellino Ownership: Intellino retains ownership of all software, hardware designs, and AI models.
  • 5.2. Restrictions:
    • No reverse engineering or decompiling.
    • No using the Services to build a competing product.
    • No removing proprietary notices.
  • 5.3. Data Use and AI Training: You grant Intellino a perpetual, royalty-free license to use your non-third-party Personal Information for:
    • Providing and improving the Services.
    • Training and evaluating AI/ML models.
    • All resulting models are solely owned by Intellino.

6. NON-COMPETE (ANTI-COPYCAT)

To protect Intellino’s proprietary design, you agree not to develop or sell competing AI-driven digital signage products in Canada or the U.S. for two (2) years after your service ends.

  • Scope: Applies to you and entities you control. Does not restrict your non-competing primary business.

7. CONFIDENTIALITY AND NON-DISPARAGEMENT

  • 7.1. Confidentiality: You must keep confidential any non-public information about Intellino’s technology, pricing, or beta features.
  • 7.2. Non-Disparagement: You agree not to publish false or misleading statements that could harm Intellino or its products.

8. ACCEPTABLE USE POLICY

You agree not to display illegal, hateful, explicit, defamatory, or fraudulent content. Violations may result in immediate suspension.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY ONTARIO LAW:

  • 9.1. Exclusion of Damages: Intellino is not liable for indirect, incidental, or consequential damages, including profit loss or reputational harm.
  • 9.2. Liability Cap: Liability is limited to the total fees paid in the twelve (12) months before the claim.

10. GENERAL PROVISIONS

  • 10.1. Governing Law: Governed by Ontario law and applicable federal law.
  • 10.2. Dispute Resolution: Disputes go to arbitration in Windsor or Toronto, Ontario.
  • 10.3. Severability: Unenforceable terms are severed; others remain valid.
  • 10.4. Entire Agreement: These Terms supersede all prior agreements.

11. SMS Terms & Conditions

  • 11.1 SMS Consent Communication: Information (Phone Numbers) obtained as part of the SMS consent process will not be shared with third parties for marketing purposes.
  • 11.2 Types of SMS Communications: If consent has been given to receive text messages from Intellino  messages may be received related to the following: Sales Outreach, Follow-up messages. Example: [Intellino] Hi John, Thank you once again for your time today. I'm happy to have you give our product a try. I know you will be satisfied with the results! Please see your updated link for The Coffee Shop.
  • 11.3 Message Frequency: Message frequency may vary depending on the type of communication. For example, up to 10 SMS messages per week may be received related to [appointments/billing, etc.].
  • 11.4 Potential Fees for SMS Messaging: Standard message and data rates may apply, depending on the carrier's pricing plan. These fees may vary if the message is sent domestically or internationally.
  • 11.5 Opt-In Method: Opt-in to receive SMS messages from Intellino can be done in the following ways: Fill Forms on Intellino Website, Contact us through company email, Contact us through company phone number, request correspondence in person.
  • 11.6 Opt-Out Method: Opting out of receiving SMS messages can be done at any time by replying "STOP" to any SMS message received. Alternatively, direct contact can be made to request removal from the messaging list.
  • 11.7 Help: For any issues, reply with the keyword HELP. Alternatively, help can be obtained directly from us at https://intellinotech.com/ Additional Options: If SMS messages are not desired, the SMS consent box on forms can be left unchecked.
